1. Who We Are

2TINYCREATIONS LLC is a creative agency and AI-powered digital studio that helps small businesses scale their social media presence through high-quality content, creative strategy, and custom software solutions. Our services include digital content creation, social media creative development, marketing assets, and AI-assisted software tools.

2. Services

We provide creative and software services as described on our website and in any written proposal, statement of work, or order confirmation ("Order"). The specific scope, deliverables, timeline, and fees for your engagement are defined in your Order. In the event of a conflict between an Order and these Terms, the Order controls for that engagement.

3. Engagement & Eligibility

You must be at least 18 years old and able to form a binding contract to use our services. By engaging us, you represent that the information you provide is accurate and that you have authority to enter into these Terms on behalf of yourself or the business you represent.

4. Fees & Billing

• Fees are stated in U.S. Dollars (USD) and are described on our pricing page or in your Order.
• Monthly retainer plans are billed in advance on a recurring monthly basis until cancelled.
• Custom software and project work is quoted individually and may require an upfront deposit before work begins.
• Payments are processed securely through our third-party payment processor (Stripe). By providing payment information, you authorize us and our processor to charge the applicable fees.
• Late or failed payments may result in suspension or pausing of services until the balance is resolved.

5. Cancellations & Refunds

Recurring plans can be cancelled at any time and will not renew for the following billing cycle. Refund eligibility is described in our Refund & Cancellation Policy, which is incorporated into these Terms by reference.

6. Client Responsibilities

• Provide timely access to brand materials, accounts, and information reasonably needed to perform the services.
• Review and provide feedback on deliverables within agreed timeframes.
• Ensure that any materials you provide to us (logos, copy, images, products) do not infringe the rights of any third party.
• Comply with the terms and policies of any third-party platform (e.g., social networks) on which content is published.

7. Intellectual Property

Upon full payment for the applicable deliverables, you receive ownership of, or a license to use, the final creative deliverables produced specifically for you, as set out in your Order. We retain ownership of our pre-existing materials, tools, frameworks, software components, and know-how, and we may display non-confidential work in our portfolio unless you request otherwise in writing.

8. AI-Assisted Work

Some deliverables may be produced with the assistance of artificial intelligence tools. We apply human review and creative direction to AI-assisted work, but you are responsible for final review and approval of all deliverables before they are published or used.

9. Acceptable Use

You agree not to use our services or website to engage in unlawful, infringing, deceptive, or harmful activity, or to request content that is illegal, defamatory, or violates the rights of others. We reserve the right to decline or terminate work that conflicts with these Terms or our values.

10. Warranties & Disclaimers

We provide our services with professional care and skill. Except as expressly stated, our website and services are provided "as is" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or that specific marketing results will be achieved.

11. Limitation of Liability

To the maximum extent permitted by law, 2TINYCREATIONS LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total aggregate liability arising out of or relating to the services will not exceed the amount you paid to us for the services giving rise to the claim during the three (3) months preceding the event.

12. Indemnification

You agree to indemnify and hold harmless 2TINYCREATIONS LLC from any claims, damages, or expenses arising out of materials you provide to us or your use of the deliverables in violation of these Terms or applicable law.

13. Termination

Either party may terminate an ongoing engagement with written notice as described in the applicable Order. Upon termination, you remain responsible for fees for services performed up to the effective date of termination.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Your continued use of our services after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the United States and the state in which 2TINYCREATIONS LLC is organized, without regard to conflict-of-laws principles.
